Service Agreement for On-line Orders Purpose of Agreement This document serves to describe the agreement between individuals placing on-line orders for service from the web site located at www.web-net-solutions.com (hereafter known as customer) and Web-Net Solutions, LLC for the rendering of services. This agreement pertains to all services rendered by Web-Net Solutions, LLC for the customer following the date of service order submission until such time as it is replaced by a later dated service agreement. Definition of Project A project will consist of an order for services submitted in writing or via the web site located at www.web-net-solutions.com (hereafter known as the web site) . Each project will be described by a Project Order which will reference each service order and include an amount for payment and an estimated time to complete the project. There is no exclusion of multiple projects being performed simultaneously. This service agreement applies to all projects properly authorized after he date of service order submission. Right of Refusal Web-Net Solutions, LLC may refuse to perform services orderd for any reason and without obligation to reaveal nature of reason behind refusal. Service to be Performed Web-Net Solutions, LLC will perform the service as described on submitted service order forms. Time to Perform Services The services will be performed in accordance with the schedule included in the service order. Compensation The customer will pay Web-Net Solutions, LLC the amount agreed upon in the service order. Full payment is required before commencement of project production. Nonsolicitation of Employees Employees of Web-Net Solutions, LLC may not be solicited for employment by the customer. This agreement will be deemed violated if an employee of Web-Net Solutions, LLC becomes a paid employee of the customer within twelve (12) months of completion of a project on which the Web-Net Solutions, LLC employee was a team member. Liability Limitations Neither Web-Net Solutions, LLC, nor any employee, shareholder, or officer thereof, are in any way liable for consequential, punitive or speculate damages or lost profits associated with the services provided. The customer assumes full responsibility for the content of any created web site, including, but not limited to violations of copy right. It is the customers responsibility to secure permission for use of images, sounds, and text presented on the web site. The customer assumes all responsibility for the use any equipment associated with the project. The customer assumes all responsibility for any damages or loss resulting from the use of such equipment. Under no circumstances will Web–Net Solutions, LLC be liable beyond the amount agreed upon in the project order. Suspension of Services Web-Net Solutions, LLC may refuse to accept additional service orders for any reason including, but not limited to failure to pay or failure to pay with reasonable timeliness. The customer is free to solicit service from any other vender, providing terms of properly authorized project orders have been fulfilled. Ownership of Work Product (Web Site Design Projects) Upon payment in full, the customer becomes sole owner (copy right) of the work product, all text, and images except as follows: (1) images created by Web-Net Solutions, LLC not uniquely identifiable with the customer (such as, but not limited to, buttons or common items) remain the property of Web-Net Solutions, LLC and may be used in any manner seen fit by them. (Images containing elements of the customer name, logo, or other clearly identifying features belong to the customer; and (2) scripts, applets, html code, or other programs written for or used on the web site remain the possession of or license of Web-Net Solutions, LLC and may be used on other sites. Site owner is free to modify same and re-use them as needed, however, such modification may complicate on-going support and result in greater than normal fees for such services. The customer MAY NOT resell any scripts, applets, html code, or other programs. Responsibility of Content (Web Site Design Projects) Images and text provided to Web-Net Solutions, LLC by the customer will be accepted and used. The customer is responsible for obtaining any needed rights or permissions for use of such elements. Web Net Solutions, LLC will be responsible for rights and permissions for use of any images or content created by Web-Net Solutions, LLC on behalf of the client. Force Majeure In the event that unforeseen circumstances arise beyond the ability of Web-Net Solutions, LLC to control or acts of God occur which prevent completion of the work as scheduled, the customer will excuse Web Net Solutions, LLC from the agreed time schedule until such time as it is decided that services cannot be completed. At such time, the customer will be excused of any further payment, or, in cases where payment is made in advance, a prorated refund.
